Our experience includes substantial representation of clients in corporate, partnership, oil and gas, utility, real estate, tax treaty, employee benefits and executive compensation, and tax controversy matters.

In the corporate area, we advise clients with respect to tax, business, and legal issues relating to the formation and operation of various types of business enterprises; providing strategic tax planning advice to clients; and structuring various types of reorganizations, mergers and acquisitions. We also advise health care providers on compliance issues that arise in their practices. Another growing field is the area of information privacy and security. With one of the few attorneys in the State of Alabama certified as a Certified Information Privacy Professional by the International Association of Privacy Professionals, we are uniquely qualified to serve our clients’ needs in those matters.

At the state and local level, our tax attorneys have extensive experience assisting clients in such matters as business privilege tax planning; the application of sales and use tax to transactions; business license disputes; multi-state taxation of transactions; church and non-profit tax exemptions; property tax matters, and the litigation of state and local tax claims.

In the estate tax area, we work on behalf of our clients to minimize estate, gift and income taxes and to manage related planning matters, including family business succession and generation-skipping tax issues. We advise closely-held businesses on all aspects of their financial affairs, and the financial affairs of their owners. Our experience also includes the negotiation and drafting of separation agreements and pre-nuptial agreements, counseling both public and private charities, and representing fiduciaries in estate and trust administrations.

Our services are both preventive and remedial. We help clients avoid tax pitfalls, as well as assist in the efficient structuring of transactions to avoid overpayment of tax obligations. We also advance clients’ interests in contested tax proceedings through the use of experienced, dedicated tax litigators. Our focus is always on adding value for our clients.

On behalf of our clients, we obtain federal and state tax exemptions, and provide continuing advice on how to keep and make the most of tax-exempt status, particularly public charity status. Our corporate and tax attorneys regularly advise clients on the rules of unrelated business taxable income and recent IRS regulations effecting non-profits.

Working closely with lawyers in our other practice areas, the tax group helps interpret, structure, and negotiate client transactions to maximize tax benefits and minimize tax costs. While the principal focus of our tax advice in business transactions is usually on the tax impact of the transaction, we also design plans and structures to minimize the tax impact of the transaction on the overall business plan.
